1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you” or “User”) and Metanoia (“we,” “us,” or “our”) governing your access to and use of the Metanoia mobile application (the “App”) and website (the “Site”), collectively the “Service.”

By downloading, installing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

2. Description of Service

Metanoia is a Catholic devotional application that provides daily Mass readings, AI-generated spiritual reflections, a glossary of biblical and theological terms, and an AI-powered conversational feature (“Ask”) for exploring the day's readings. The Service is offered as a devotional aid and is not affiliated with or endorsed by the Holy See, any diocese, or any parish.

3. Eligibility

You must be at least 13 years of age to use the Service. If you are under 18, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using the Service, you represent and warrant that you meet these eligibility requirements.

4. Free Trial

New users receive a free trial period of seven (7) days beginning on the date of first launch. During the free trial, you have access to the full Service, including the Ask feature, subject to the usage limits described in Section 7. When the free trial expires, access to premium features (including, but not limited to, daily reflections, alternate lenses, the Ask feature, and biblical maps) will be restricted unless you subscribe to Metanoia Premium.

During the free trial, the Ask feature is limited to one (1) free-text question per calendar day. Pre-written prompts and suggested questions do not count toward this limit.

5. Subscriptions and Payment

5.1 Plans

Metanoia Premium is available in two subscription tiers:

• Monthly — $2.99 per month, billed monthly, auto-renews until cancelled
• Annual — $19.99 per year, billed annually, auto-renews until cancelled

Prices are in United States dollars and may vary by region due to App Store pricing tiers. Actual prices are displayed in the App at the time of purchase and are determined by Apple.

5.2 Billing and Renewal

All subscriptions are processed and billed by Apple through the App Store. Payment is charged to your Apple ID account at confirmation of purchase. Monthly and annual subscriptions automatically renew unless auto-renewal is turned off at least twenty-four (24) hours before the end of the current billing period. Your account will be charged for renewal within twenty-four (24) hours prior to the end of the current period at the then-current subscription price.

5.3 Cancellation and Refunds

You may cancel your subscription at any time through your Apple ID settings (Settings → Apple ID → Subscriptions). Cancellation takes effect at the end of the current billing period; you will retain access to premium features until that date. No partial refunds are issued for unused portions of a billing period. Refund requests are handled exclusively by Apple in accordance with Apple's refund policy.

5.4 Price Changes

We reserve the right to change subscription prices at any time. For active monthly and annual subscribers, price changes will take effect at the start of the next billing period following notice of the change. You will be notified of price changes through the App Store and will have the opportunity to cancel before the new price takes effect.

6. AI-Generated Content

Reflections, glossary definitions, daily synopses, ask prompts, and Ask feature chat responses are generated by third-party artificial intelligence systems (currently Google Gemini and Anthropic Claude).

You acknowledge and agree that:

• AI-generated content is provided for devotional and educational purposes only and is not a substitute for the guidance of a priest, spiritual director, licensed counselor, or the Magisterium of the Catholic Church.
• AI-generated content may contain theological errors, factual inaccuracies, fabricated citations (including incorrect Catechism paragraph numbers), or imprecise language. We make reasonable efforts to prompt AI systems for accuracy but cannot verify every output.
• You should not rely on AI-generated content for making significant spiritual, personal, medical, legal, or financial decisions.
• AI-generated content does not represent the official position or teaching of the Catholic Church, any diocese, religious order, or clergy member.
• The quality, accuracy, and availability of AI-generated content may vary and may change without notice as underlying AI models are updated by their respective providers.

We encourage you to verify important theological claims with authoritative sources and to bring pastoral questions to your parish priest or spiritual director.

7. Usage Limits

The Ask feature is subject to usage limits to ensure fair access and manage costs:

• Free trial users: One (1) free-text question per calendar day. Pre-written prompts and suggested questions do not count toward this limit.
• Premium subscribers: Three hundred (300) free-text questions per calendar week (Monday through Sunday). Pre-written prompts and suggested questions do not count toward this limit.
• Sharing feature: Up to ten (10) shares per calendar day.

We reserve the right to modify these limits at any time. Unused messages do not roll over. Usage limits are enforced both on-device and server-side. Attempts to circumvent usage limits (including but not limited to spoofing device identifiers, automated scripting, or using multiple installations to exceed limits) constitute a violation of these Terms.

8. Acceptable Use

You agree not to:

• Use the Service for any purpose other than personal, non-commercial devotional use
• Use the Ask feature to generate content that is harmful, abusive, threatening, defamatory, or otherwise objectionable
• Attempt to reverse-engineer, decompile, disassemble, or extract the source code of the App
• Scrape, crawl, or systematically extract content from the Service
• Circumvent or attempt to circumvent any usage limits, rate limits, or access controls
• Resell, redistribute, or publicly display AI-generated content from the Service without attribution
• Misrepresent AI-generated content as official Catholic Church teaching, Magisterial documents, or the words of any real person
• Use the Service in any way that violates applicable local, state, national, or international law

We reserve the right to suspend or terminate access to the Service for any user who violates these Terms, without prior notice or refund.

9. Intellectual Property

The Metanoia name, logo, App design, and original content (excluding Scripture texts, which are in the public domain or used under license) are the property of Metanoia and are protected by applicable intellectual property laws. AI-generated content is provided to you for personal use; you do not acquire any ownership rights in AI-generated output.

10. Service Availability

We strive to keep the Service available at all times but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, server issues, third-party provider outages (including AI providers), or events beyond our control. Daily content is generated in advance and cached on your device; some features may be available offline, while others (including the Ask feature) require an active internet connection.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, WE MAKE NO WARRANTY THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; (B) AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, THEOLOGICALLY SOUND, OR FREE FROM ERROR; (C) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; OR (D) ANY ERRORS IN THE SERVICE WILL BE CORRECTED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL METANOIA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR USE OF OR INABILITY TO USE THE SERVICE; (B) ANY CONTENT GENERATED BY OR OBTAINED THROUGH THE SERVICE, INCLUDING AI-GENERATED CONTENT; (C) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; OR (D) ANY OTHER MATTER RELATING TO THE SERVICE.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF: (I) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (II) FIFTY UNITED STATES DOLLARS ($50.00).

YOU SPECIFICALLY ACKNOWLEDGE THAT WE SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM YOUR RELIANCE ON AI-GENERATED CONTENT, INCLUDING BUT NOT LIMITED TO SPIRITUAL, EMOTIONAL, OR PSYCHOLOGICAL HARM.

13. Indemnification

You agree to defend, indemnify, and hold harmless Metanoia, its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including, without limitation, Sections 6, 11, 12, 13, and 16) shall survive.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the “Effective date” at the top of this page and, where practicable, by providing notice within the App. Your continued use of the Service following the posting of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.

17. Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision will be enforced to the maximum extent possible, and the remaining provisions will remain in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Metanoia regarding the Service and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and Metanoia.
